Rewards Policy

Introduction

This Rewards Policy ("Policy") sets forth the governing terms and conditions applicable to all promotional reward campaigns ("Campaigns") conducted by Kutoot Innovations Pvt. Ltd. ("Kutoot", "we", "our", or "us"), a private limited company incorporated under the Companies Act, 2013, having its registered office at No. 59, 1st Floor, Chowdeshwari Arcade, Opposite Metro Station, Rajajinagar, Bengaluru – 560086, India.

The Campaigns covered under this Policy are organized and operated through the following online platforms:

  • (a) www.kutoot.com, being the primary digital voucher selling platform in the form of shopping coins, rewards and promotional platform; and
  • (b) shop.kutoot.com, being the integrated e-commerce marketplace for goods and services.

The Campaigns are conceived, structured, and executed as marketing and promotional initiatives intended to enhance customer engagement, promote the sale of products and services on our platforms, and foster long-term brand loyalty. Participation in these Campaigns is entirely voluntary, free of cost to users, and financially supported in full by Kutoot as part of its marketing and customer acquisition activities.

1. Nature and Purpose of Campaigns

Each Campaign is structured exclusively as a promotional activity designed to increase awareness of Kutoot's e-commerce and rewards ecosystem, to encourage Users to interact with Kutoot Coins and vendor offerings, and to provide incentives in the form of rewards with the objective of fostering engagement and supporting future sales growth.

Campaigns are not independent commercial activities in themselves but are ancillary marketing mechanisms, the costs of which are fully absorbed by Kutoot as part of its promotional expenditure. No element of pooling of funds or user-financed contribution exists in relation to any reward.

2. Eligibility and Access

Participation in Campaigns is open solely to natural persons who are at least eighteen (18) years of age or the age of majority in their place of residence, who possess the legal capacity to participate into binding agreements, and who have a valid and active registered account on the Platforms.

Access may be restricted in specific territories where participation is not permitted under local regulations, including but not limited to the States of Tamil Nadu, Andhra Pradesh, and Telangana, subject to future amendments.

Employees, officers, directors, contractors, agents, and immediate family members of Kutoot or its affiliated entities are excluded from participation. Individuals prohibited by law from taking part in such promotional activities or Users whose accounts have been suspended or terminated due to violations of our Terms & Conditions shall not be eligible.

3. Free Participation (No Purchase Necessary)

All Campaigns are accessible without the requirement of purchase or payment of any kind. Kutoot ensures that free entry mechanisms are available to all Users, thereby preserving equal opportunity and eliminating any form of compulsion.

Free participation may be obtained through activities such as referrals, social sharing, platform engagement, surveys, or other promotional tasks communicated by Kutoot from time to time. Such participation may be subject to reasonable caps or limits per User per Campaign in order to safeguard fairness.

In addition, Users purchasing or redeeming Kutoot Coins may, as a promotional courtesy, receive complimentary bonus participation into Campaigns. These bonus participation are granted entirely at no cost and are treated on par with free participation in all respects.

4. Rewardee Selection Process

Rewardees of Campaigns are selected through a fair, impartial, and transparent process, which may involve the use of automated randomized algorithms, certified randomization tools, or mechanical devices such as ball machines. The methodology employed ensures that outcomes are unbiased, independently verifiable, and consistent with the promotional objectives of the Campaign.

For the purpose of ensuring transparency, Kutoot may, at its discretion, live-stream or publicly broadcast the selection process, engage third-party auditors to supervise the procedure, or retain detailed internal records for regulatory review.

All valid participation are anonymized during the process in order to eliminate any potential for favoritism. Where practicable, approximate odds of selection shall be disclosed in the Campaign-specific rules.

5. Rewards and Fulfilment

All rewards awarded under Campaigns are fully sponsored, funded, and delivered by Kutoot or its marketing partners as part of promotional expenditure. No payment, fee, or contribution is required from participants either for entry or for receipt of rewards.

Rewards may comprise tangible goods such as electronics, vehicles, jewelry, or lifestyle items, as well as experiences such as travel or events. Each Campaign shall disclose the specific rewards offered. Unless otherwise specified, rewards are strictly non-transferable, non-exchangeable, and are not redeemable for cash.

Reward fulfilment is subject to the rewardee completing any required verification formalities, including submission of KYC documents in the case of high-value rewards. Delivery shall be arranged through reputed logistics service providers, with costs of shipping, insurance, and handling borne entirely by Kutoot.

6. Transparency and Accountability

Kutoot is committed to maintaining transparency in the conduct of all Campaigns. Each Campaign shall disclose in advance its entry procedures, rewardee selection methodology, reward details, and relevant timelines.

Internal audits are conducted periodically to ensure adherence to these standards, and external verification may be engaged in respect of high-value Campaigns. Records of Campaigns, including rewardee selection logs, are retained for a period of seven (7) years or such other period as required by law.

Kutoot may publish anonymized details of rewardees, such as first name initials and city, on the Platforms or in promotional material, while ensuring that personal information is protected in compliance with the Digital Personal Data Protection Act, 2023. Participants may elect to opt out of such disclosures by notifying Kutoot in writing.

7. User Responsibilities

Participants shall provide true, accurate, and complete information when participating in Campaigns or claiming rewards. Any false, misleading, or incomplete information shall render the entry void and may result in disqualification.

Users are expected to comply with all applicable rules, to refrain from abuse of free entry mechanisms, and to participate in a manner consistent with the promotional spirit of the Campaigns. Any attempt to manipulate or undermine the process, including the use of spurious accounts or automated tools, shall lead to immediate disqualification and potential account termination.

8. Modification, Suspension, or Termination of Campaigns

Kutoot reserves the unilateral right to modify, suspend, or terminate any Campaign, whether in whole or in part, in the event of technical malfunctions, inadequate participation levels, regulatory changes, or events constituting force majeure. In such instances, Kutoot may adopt equitable measures including rescheduling, reward substitution, or adjustments to Campaign rules, without incurring liability to participants.

9. Disclaimers and Limitation of Liability

Participation in Campaigns does not create any contractual, fiduciary, or employment relationship between Kutoot and Users beyond the terms set forth herein.

Kutoot shall not be held liable for any technical failures, system malfunctions, or interruptions beyond its reasonable control, nor for any indirect, incidental, or consequential damages arising out of participation in Campaigns.

To the maximum extent permitted by law, Kutoot's aggregate liability in connection with any Campaign shall be strictly limited to the value of the reward offered therein. No warranties or representations, express or implied, are made in respect of the suitability, merchantability, or fitness for purpose of any reward.

10. Governing Law and Dispute Resolution

This Policy shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising in relation to this Policy or any Campaign shall first be attempted to be resolved amicably through mutual negotiations.

In the event that such resolution is not achieved within thirty (30) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Bengaluru, Karnataka, in the English language, before a sole arbitrator appointed by Kutoot. The decision of the arbitrator shall be final and binding on the parties.

Subject to the foregoing, the courts of Bengaluru, Karnataka, shall have exclusive jurisdiction over all matters arising hereunder.
